1. Acceptance of Terms

By accessing or using File Logic ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

File Logic is a document management platform designed for legal professionals. The Service provides:

  • Document upload and secure storage
  • OCR text extraction and processing
  • AI-powered document analysis and Q&A
  • Medical chronology generation
  • Annotation and collaboration tools

3. User Accounts

Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

Account Responsibilities

You agree to:

  • Notify us immediately of any unauthorized access
  • Not share account credentials with unauthorized parties
  • Ensure all users under your organization comply with these terms

4. Acceptable Use

You agree not to:

  • Upload content that violates any law or third-party rights
  • Attempt to gain unauthorized access to the Service or its systems
  • Use the Service to transmit malware or malicious code
  • Interfere with or disrupt the Service's operation
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service for any illegal purpose

5. Data and Privacy

Your Data

You retain all rights to the documents and data you upload to File Logic. We do not claim ownership of your content.

Data Processing

By using the Service, you grant us permission to process your documents as necessary to provide the Service, including OCR extraction, AI analysis, and secure storage.

Protected Health Information

File Logic may process Protected Health Information (PHI). Our handling of PHI is governed by our Privacy Policy and applicable HIPAA regulations. Organizations processing PHI must execute a Business Associate Agreement (BAA) with CAG.

6. Intellectual Property

Our Property

The Service, including its design, features, and underlying technology, is owned by Control Alt Growth. You may not copy, modify, or distribute any part of the Service without permission.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

7. Payment and Billing

Subscription Fees

Paid features require a subscription. Fees are billed in advance on a monthly or annual basis.

Changes to Pricing

We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless Control Alt Growth from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

11. Termination

By You

You may cancel your account at any time through the Service settings.

By Us

We may suspend or terminate your access for violation of these terms, non-payment, or any reason with reasonable notice.

Effect of Termination

Upon termination, your right to access the Service ends. You may request export of your data within 30 days of termination.

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
